The HP / Compaq merger is looking increasingly uncertain with HP`s largest shareholder having decided to oppose the deal.

The David and Lucile Packard Foundation, which controls 10.4% of HP`s share, is understood to have reached the decision following advice from consultants Booz Allen & Hamilton.
Walter Hewlett, who controls 7% of shares, has also opposed the deal in recent weeks. Observers had felt the deal was more likely after HP recently announced strong quarterly financial results. This no-vote has swung the pendulum in the opposite direction and most analysts now believe the deal is unlikely to proceed.
